CS Professional Syllabus June 2015 and Onwards Examinations

The Council of the Institute of Company Secretaries of India in exercise of the powers vested under clause (a) of sub-section (2) of Section 15 of the Company Secretaries Act, 1980, as amended by the Company Secretaries (Amendment) Act, 2006 approved the new syllabus for the Professional Programme of the Company Secretaryship Course, and decided as under:
2. The New Syllabus for professional Programme shall comprise nine papers including one Paper to be opted by the students out of five elective papers namely, (i) Banking Law and Practice; (ii) Capital, Commodities and Money Market; (iii) Insurance Law and Practice; (iv) Intellectual Property Rights-Law and Practice; and (v) International BusinessLaws and Practice, instead of eight papers as at present.
The detailed contents for each of the nine papers of Professional Programme including electives under the new syllabus.

Module I
1. Advanced Company Law and Practice (100 Marks)
2. Secretarial Audit, Compliance Management and Due Diligence
  • Part A: Secretarial Audit (25 Marks)
  • Part B: Due Diligence and Compliance (75 Marks)
3. Corporate Restructuring, Valuation and Insolvency
  • Part A: Corporate Restructuring (50 Marks)
  • Part B: Valuation (30 Marks)
  • Part C – Insolvency (20 Marks)
Module II
4. Information Technology and Systems Audit (100 marks)
5. Financial, Treasury and Forex Management (100 Marks)
6. Ethics, Governance and Sustainability
  • Part A: Ethics and Governance (70 Marks)
  • Part B: Sustainability (30 Marks)
Module III
7. Advanced Tax Laws and Practice
  • Part A: Direct Tax Management (30 Marks)
  • Part B: Central Excise, Customs, VAT and Service Tax (70 Marks)
8. Drafting, Appearances and Pleadings (100 marks)
Electives 1 out of below 5 subjects
9.1. Banking Law and Practice (100 Marks)

9.3. Insurance Law and Practice (100 Marks)
